The board of Urban Company approved plans on 16 October 2026 to raise up to Rs 2,500 crore, according to Inc42, which reported the decision with the company’s second-quarter results. The money would be raised through equity shares, warrants, fully convertible debentures or convertible preference shares, by preferential allotment, private placement or qualified institutional placement, and the plan still needs shareholder approval. The final pricing and structure have not been decided, according to Inc42.

The results explain the timing. Operating revenue for the September quarter rose 41 per cent from a year earlier to Rs 537.29 crore, according to Inc42, while a daily funding roundup by StartupTalky gave a slightly different figure of Rs 527 crore. Net transaction value rose 39 per cent to Rs 1,432 crore on 15.1 million orders, according to Retail Intel, which makes the average order worth about Rs 948, a division by IndiaX24.

The loss widened sharply. The net loss was Rs 182.5 crore, more than tripled from a year earlier, and the adjusted EBITDA loss was Rs 144 crore, according to Inc42. The net loss was about 34 per cent of revenue, a ratio calculated by IndiaX24. The planned raise of up to Rs 2,500 crore is about 13.7 times the quarter’s net loss, which means that at the current rate of loss it would cover more than three years, though the loss may change and the raise may be smaller.

The main reason for the losses is InstaHelp, the company’s instant home-cleaning service. Urban Company invested Rs 174 crore in it during the quarter, according to Inc42, which is nearly as large as the adjusted EBITDA loss itself. The service faces competition from Snabbit and Pronto in quick home services, and Inc42 expects a ‘cash burn battle’. The funding roundup said that Snabbit has raised more than 112 million dollars in total and reported a net loss of Rs 168 crore for 2025-26, but IndiaX24 has not verified those figures.

The company said the raise gives it flexibility, according to Inc42: it lets the company ‘invest with conviction’ across its businesses and ‘cement leadership in InstaHelp’ without compromising other units. The board also granted in-principle approval to explore selling residential air conditioners under a product brand called Native, which would use the company’s existing base of customers who buy AC servicing.

The targets are for the longer term. Urban Company expects adjusted EBITDA breakeven in the third quarter of 2027-28 and an adjusted EBITDA of Rs 1,000 crore by 2030-31, according to Inc42. The company is therefore forecasting about two more years of adjusted losses, which is IndiaX24’s reading of the breakeven quarter.

Investors will want to know how much of the raise will dilute existing shareholders. The reports reviewed do not give the price, the number of shares or the likely mix of instruments, so IndiaX24 cannot estimate the dilution. A qualified institutional placement is a sale of shares to large institutions, which is general background, and it is usually completed quickly once approvals are in place.

Urban Company listed on the stock exchanges in September 2025, and its anchor investors put in Rs 854 crore at that time, according to a Business Standard headline in the search results. The new raise would therefore be nearly three times that anchor amount, a comparison by IndiaX24 that uses the two headline figures.

The reports reviewed do not give the reaction of the company’s shares to the announcement or the date of the shareholders’ meeting. IndiaX24 will report when the terms are fixed.
